Except as otherwise provided below, you and Home Match Experts agree that any disputes between us (including any disputes between you and a third-party agent referred by us) will be resolved through binding and final arbitration rather than through court proceedings. You and Home Match Experts expressly waive the right to a jury trial for any claim, dispute, or controversy (each, a “Claim”).

All Claims arising out of or relating to this Agreement or your use of our services shall be submitted to binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services, Inc.) in accordance with its Comprehensive Arbitration Rules and Procedures then in effect (the “JAMS Rules”). The arbitration shall be conducted by a single neutral arbitrator, whose decision will be final and binding, and may be enforced in any court with proper jurisdiction.

You and Home Match Experts agree to maintain the confidentiality of all arbitration proceedings , including the existence of the arbitration, all related materials (such as pleadings, briefs, documents, or testimony), and any final decision or award, except where disclosure is required by law, regulation, or judicial proceeding.

This arbitration agreement is governed by the Federal Arbitration Act (FAA) and applicable federal arbitration law. The arbitrator shall have exclusive authority

to determine the interpretation, enforceability, validity, or formation of this Agreement, including any claim that all or part of this Agreement is void or voidable.

If you demonstrate that the cost of arbitration would be prohibitive compared to the cost of litigation,

will pay as much of the arbitrator's fees and administrative costs as the arbitrator determines necessary to ensure the arbitration is not cost-prohibitive. In the final award, the arbitrator may allocate the arbitration costs and arbitrator’s compensation between the parties in a manner the arbitrator deems fair.

This arbitration agreement does not prevent either you or Home Match Experts from seeking assistance or filing a complaint with any federal, state, or local government agency . You and we also retain the right to bring qualifying claims in small claims court . In addition, both parties may apply to any court of competent jurisdiction for provisional relief, such as a preliminary injunction or pre-arbitral attachment. Seeking such relief does not waive the right to arbitration under these Terms of Use.

You and Home Match Experts agree to resolve disputes only on an individual basis. You may not act as a class representative, participate as a class member, or bring a claim as part of any class or representative action. Claims may not be arbitrated on a class or representative basis. The arbitrator may resolve only individual disputes and is not authorized to consolidate or join claims of multiple individuals or parties. The arbitrator may grant the same remedies available under applicable law, including individual injunctive or declaratory relief, as if the claim were brought in court.

However, the arbitrator may not issue a public injunction. Any claim or request for a public injunction may only be heard and granted by a federal or state court. If such a request is made, all other claims must first be resolved in arbitration, and the request for public injunctive relief must be stayed until the arbitration is concluded. The decision of the arbitrator on any other issues will be binding and may have preclusive effect in the court's review of the public injunction claim.

If any provision in this arbitration section is found to be unenforceable or invalid, that specific provision will be severed, and the remainder of this section will remain in full force and effect. No waiver of any part of this arbitration section will be valid unless in a written agreement signed by the waiving party. A waiver of any term does not imply waiver of any other term. This arbitration section survives the termination of your relationship with Home Match Experts.

PLEASE NOTE: THIS SECTION LIMITS CERTAIN RIGHTS, INCLUDING THE RIGHT TO FILE A LAWSUIT IN COURT, THE RIGHT TO A JURY TRIAL, THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE SUIT, THE RIGHT TO BROAD DISCOVERY, AND THE RIGHT TO CERTAIN FORMS OF RELIEF. OTHER RIGHTS THAT YOU MAY HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION.

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Home Match Experts, its affiliates, officers, agents, employees, and partners from and against any and all claims, demands, proceedings, losses, damages, liabilities, and expenses (including, without limitation, reasonable attorneys’ fees and legal costs) arising out of or related to: (a) any actual or alleged breach of these Terms of Use, (b) any executed Referral Agreement, or (c) any other agreement between you and Home Match Experts, including actions taken by anyone using your account or access credentials.

If Home Match Experts assumes the defense of such a matter, you agree to reasonably cooperate with us in the preparation and presentation of the defense.

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida , without regard to its conflict of laws principles. You agree that any legal action of any kind not subject to arbitration , and arising from or relating to these Terms, our website, or our services, must be brought exclusively in the state or federal courts located in Palm Beach County, Florida . You hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

If any provision of these Terms of Use is found to be invalid or unenforceable under applicable law, including but not limited to the warranty disclaimers and limitations of liability stated above, that provision shall be deemed replaced with a valid and enforceable provision that most closely reflects the original intent. The remainder of these Terms shall remain in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future.
